RECIPE SUBMISSION TERMS OF SERVICE

By submitting a recipe and associated information (“Submitted Item”) to The Africa Channel, Inc.’s (“TAC”) for Demand Africa you agree to the following terms and conditions:

1. Eligibility.
   1. In order to be eligible to have your recipe appear in Demand Africa, participants must be at least eighteen (18) years of age or older at the time of submission.
   2. Participants may be contacted to provide additional information and have their information verified. TAC reserves the right to request and require additional information from participants in order to have their participation considered. False or deceptive submissions or acts may render a submission ineligible.
   3. At any time, at TAC’s discretion, a prospective participants may be deemed ineligible for participation in Demand Africa.
   4. Employees and immediate family members of TAC and its subsidiaries and sponsors of Demand Africa as well as advertising and promotional agencies directly involved in Demand Africa are not eligible to participate in Demand Africa or submit recipes. TAC and the sponsors of Demand Africa shall herein be collectively referred to as the “Sponsors.”

2. Content. Recipes should an original recipe. Recipes must list all ingredients in exact common U.S. household measurements, step-by-step preparation instructions, and cooking times. Do not submit any brand names; all ingredients must be listed using generic names only. When you submit the recipe, it may automatically be posted to Demand Africa.   You may not, and shall not, post, upload, transmit through or otherwise make available on Demand Africa any material protected by copyright, trademark, or other proprietary right without the express permission of the owner of the respective right.  You shall be solely liable for any damage resulting from any infringement of copyright, trademark, proprietary right, or any other harm resulting from such submission.

3. Representations of User. You hereby represent and warrant that (a) you have all necessary right, power, and authority to grant the license set forth herein to your Submitted Item; (b) your Submitted Item does not violate, misappropriate, or infringe any copyright, trade secret, trademark, or other intellectual property right of any other person or entity; and (c) you will not post, upload, or transmit any material that (i) is an advertisement for good or services or solicitation of funds; (ii) includes personal information (such as phone numbers and account numbers); (iii) encourages conduct that would constitute a criminal or civil offense or otherwise violate any law; or (iv) impersonates another person. You will take any further action (including, without limitation, execution of affidavits and other documents) reasonably requested by TAC to effect, perfect, or confirm the license to your Submitted Item(s) as set forth herein.

4. License. All Submitted Items become the property of TAC and any brand or advertiser(s) sponsoring the Demand Africa feature (the “Sponsor”) and will not be returned. TAC reserves the right to edit any Submitted Item as it sees fit for use in publication or promotion. By submitting a Submitted Item to Demand Africa you hereby grant to TAC  (a) the right without obligation, unless prohibited by law, to use the contents of your Submitted Item(s), your name, voice, picture and likeness, without compensation, for the purpose of advertising and publicizing all matters related to Demand Africa and/or the Sponsors in any medium, throughout the world in perpetuity; and (ii) an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to use, display, publicly perform, modify, reproduce, publish, distribute, make derivative works of, modify, sublicense, and otherwise commercially and noncommercially exploit your Submitted Item(s) and all copyright, trade secret, trademark, or other intellectual property rights therein, in any manner or medium now existing or hereafter developed (including but not limited to print, film, or electronic storage devices), and to authorize others to do so, without separate compensation to you or any other person or entity.  The above grants are provided for good and valuable consideration including, without limitation, the possibility of publication or publicity, the receipt and sufficiency of which are hereby acknowledged.

5. Selection. TAC may from time to time select Submitted Items (each a “Featured Recipe”) to feature on Demand Africa in its sole discretion (such feature, an “Award”).  TAC reserves the right to change the exact Award provided in its sole discretion.  Featured Recipes deemed solely by TAC to meet the requirements set forth herein may be presented online and/or on-air for public viewing. No monetary prizes or other consideration will be awarded.

6. Advertisements. TAC reserves the right to display advertisements in connection with any of your Submitted Items and to use any of your Submitted Items for advertisements and promotional purposes.  You acknowledge and agree that your Submitted Item(s) may be included on the websites and advertising networks of the Sponsors, distribution partners and third-party service providers (including their downstream users) of TAC, its representatives, and assigns.

7. General Conditions: By participating, entrants agree: (a) that these Recipe Submission Terms of Service and TAC’s decisions, will be final and binding; and (b) to release and hold harmless Sponsors, and their affiliated agencies, award suppliers of Demand Africa (if any), their employees and affiliate agencies, its charter affiliates, and their respective parents, affiliates, subsidiaries, agencies and the officers, directors, shareholders, representatives and employees of any of the above organizations (collectively, the “Released Parties”) from any and all liability or loss, including reasonable attorney’s fees and court costs, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use of any of your Submitted Items or participation in Demand Africa, even if caused or contributed to by the negligence of any of the Released Parties. Participants that provide Featured Recipes may be asked by TAC to execute an Affidavit of Eligibility and Liability/Publicity Release forms granting TAC, and any entities with which TAC is affiliated the opportunity and right to film, videotape, record and photograph such participant, and to use his/her name, voice and likeness without further compensation for advertising and promotion for The Africa Channel and Demand Africa.  TAC reserves the right to modify any clause of these Recipe Submission Terms of Service at any time without prior notice.  By participating in the Demand Africa, you consent to the collection, use and disclosure of your personal information by TAC and its authorized agents for the purposes of administering Demand Africa, as described in the Demand Africa Privacy Policy at https://demandafrica.com/privacy/.

8. Governing Law. These Recipe Submission Terms of Service as well your participation in Demand Africa is subject to all federal, state, and local laws and shall be governed and interpreted by the laws of the State of California without regard to its conflict of law provisions.

9. TAC Standard Terms and Conditions; Privacy. Without limiting the provisions of Section 8, by visiting the Demand Africa website and participating in the recipe submission program offered by Demand Africa (or any other program or feature offered on the Demand Africa website), you acknowledge that your use and participation is at all times subject to the Demand Africa Terms of Use (located at https://demandafrica.com/terms-of-use) and the Demand Africa Privacy Policy (located at https://demandafrica.com/privacy).
